Effective Date: 1st January 2024
This Licensing Agreement (“Agreement”) is entered into between Riddim World (“Licensor”), a promotional platform offering reggae/dancehall riddim downloads, and the user (“Licensee”), collectively referred to as the “Parties.” This Agreement governs the use of riddims downloaded from Riddim World (the “Platform”) and outlines the process for obtaining rights for additional uses.
Definitions
- Riddim: A reggae or dancehall instrumental track provided through the Platform for promotional download.
- Promotional Use: Non-commercial use of the Riddim by DJs for live performances, radio play, or social media promotion, as specified in Section 3.
- Copyright Holder: The producer, artist, or entity that owns the intellectual property rights to the Riddim.
- Licensee: The DJ or individual downloading the Riddim from the Platform.
Grant of License
2.1 Limited Promotional License: Riddim World
grants the Licensee a non-exclusive, non-transferable, revocable
license to use the Riddim solely for Promotional Use, subject to
the terms of this Agreement.
2.2 Restrictions: The Licensee shall not:
- Use the Riddim to create new music, derivative works, or commercial releases without a separate agreement with the Copyright Holder.
- Distribute, sell, or sublicense the Riddim to third parties.
- Modify, edit, or alter the Riddim beyond basic DJ mixing techniques (e.g., tempo adjustments, transitions) without prior written consent from the Copyright Holder.
- Use the Riddim in any way that violates applicable copyright laws or this Agreement.
Permitted Promotional Uses
The Licensee may use the Riddim for the following purposes:
- Playing the Riddim during live DJ performances in venues, provided no commercial recordings are made.
- Including the Riddim in non-monetized DJ mixes shared on social media platforms or radio broadcasts, with proper attribution to the Copyright Holder and Riddim World.
- Promoting the Riddim on social media by tagging Riddim World and the Copyright Holder (if known).
Rights Clearance Process
4.1 Request for Additional Rights: If the
Licensee wishes to use the Riddim for purposes beyond Promotional
Use (e.g., creating new music, commercial releases, or
synchronization in media), the Licensee must obtain explicit
permission from the Copyright Holder.
4.2 Facilitation by Riddim World: Riddim World
will assist the Licensee in contacting the Copyright Holder to
negotiate additional rights. The Licensee must submit a written
request to Riddim World via the form below, including:
- The specific Riddim(s) in question.
- The intended use (e.g., new music production, commercial release).
- Contact details for follow-up.
4.3 Response Time: Riddim World will make
reasonable efforts to connect the Licensee with the Copyright
Holder within 5 business days. However, Riddim World is not
responsible for the outcome of negotiations or the Copyright
Holder’s response.
4.4 Separate Agreement: Any additional use of the
Riddim requires a separate written agreement between the Licensee
and the Copyright Holder. Riddim World is not a party to such
agreements and assumes no liability for their terms or
enforcement.
Ownership and Attribution
5.1 Ownership: All rights, title, and interest
in the Riddim remain with the Copyright Holder. Riddim World acts
solely as a promotional platform and does not claim ownership of
the Riddim.
5.2 Attribution: The Licensee must credit the
Copyright Holder when using the Riddim for Promotional Use, where
feasible (e.g., in tracklists, social media posts, or verbal
announcements during performances).
Term and Termination
6.1 Term: This Agreement is effective upon
download of the Riddim and continues until terminated.
6.2 Termination: Riddim World may terminate this
Agreement at any time if the Licensee breaches its terms. Upon
termination, the Licensee must cease all use of the Riddim and
delete any copies in their possession.
6.3 Survival: Sections 5 (Ownership and
Attribution), 7 (Warranties and Liability), and 8 (General
Provisions) shall survive termination.
Warranties and Liability
7.1 Licensee Warranties: The Licensee warrants
that they will use the Riddim in compliance with this Agreement and
applicable laws.
7.2 No Warranty by Riddim World: Riddim World
provides the Riddim on an “as-is” basis and makes no warranties
regarding the quality, availability, or fitness for a particular
purpose.
7.3 Limitation of Liability: Riddim World shall
not be liable for any damages arising from the use of the Riddim,
including but not limited to copyright infringement claims, lost
profits, or third-party disputes.
General Provisions
8.1 Governing Law: This Agreement shall be
governed by the laws of Jamaica, United Kingdom, United States,
South Africa, Canada, Kenya and European Union.
8.2 Dispute Resolution: Any disputes arising from
this Agreement shall be resolved through mediation or arbitration,
recorded telephonically and electronically (email).
8.3 Entire Agreement: This Agreement constitutes
the entire understanding between the Parties and supersedes any
prior agreements.
8.4 Amendments: Riddim World may update this
Agreement at any time by posting revised terms on the Platform.
Continued use of the Riddim constitutes acceptance of the updated
terms.

By downloading and using the Riddim, the Licensee agrees to be bound by the terms of this Agreement.
